Datavizor Terms and Conditions

Effective date: September 22, 2026

These Terms govern access to Datavizor at datavizor.openmatter.network, together with its associated platform features and any other OpenMatter Network components made available to you, including Masked Compute and QuantumGuard (collectively, the “Services”), operated by Open Matter Network, Inc., a Delaware corporation (“OMNI,” “we,” “us,” or “our”).

By accepting these Terms or using the Services, you agree to them. If you act for an organization, you represent that you have authority to bind it, and “you” includes that organization. A separate written agreement with OMNI controls to the extent it conflicts with these Terms.

1. Accounts and access

You must be of legal age to enter a binding contract and provide accurate account information. Protect your login credentials, wallet access, API keys, and recovery methods, and notify us promptly of suspected unauthorized access.

You are responsible for your authorized users and the permissions you grant. Organization owners and administrators may manage access and information within their assigned permissions. OMNI may be unable to recover lost keys or information protected by them.

2. Permitted use

Subject to these Terms and your plan, OMNI grants you a limited, nonexclusive, nontransferable right to use the Services for your business purposes.

You may not use the Services unlawfully, violate another person’s rights, introduce malicious code, interfere with the network, bypass access controls or usage limits, or attempt to access data without authorization. You must comply with applicable export controls and sanctions laws.

If you register computing resources, you must have authority to operate them and make them available to the network, and you are responsible for their lawful operation. Registration does not guarantee workload assignments or earnings. Any earnings or rewards are subject to the applicable program terms, and you are solely responsible for any taxes on them and for your own tax reporting.

3. Your data and workloads

You retain your rights in the data, code, prompts, files, and other materials you submit or connect to the Services (“Customer Content”). As between you and OMNI, OMNI claims no ownership of results generated from your Customer Content, excluding OMNI’s underlying technology and third-party materials.

You authorize OMNI and the providers used to deliver the Services to process Customer Content only as needed to provide, secure, and support the Services, follow your instructions, or comply with law. This authorization does not permit OMNI to use Customer Content to train general-purpose AI models without your separate permission.

You are responsible for the legality of your Customer Content, necessary notices and permissions, your configurations, and your use of results. You must assess outputs before relying on them.

Where you use the Services to collaborate with other organizations on a shared workload, each participating organization remains responsible for its own Customer Content and for having the necessary rights and permissions to contribute it. Unless the participants agree otherwise in writing, OMNI is not responsible for resolving disputes among collaborators or for determining their respective rights in Customer Content or in jointly generated results.

Do not submit data requiring special regulatory or contractual safeguards, including protected health information, unless OMNI has agreed in writing to support that use and any required agreements (such as a data processing agreement or business associate agreement) are in place. Where the parties execute such an agreement, it governs the handling of that data to the extent of any conflict with these Terms.

4. Confidentiality and security

OMNI will protect nonpublic Customer Content using reasonable safeguards and limit access to authorized persons who need it to deliver the Services or meet legal obligations, subject to appropriate confidentiality duties.

Security protections depend on the feature, plan, and configuration. Encryption of credentials does not necessarily encrypt the underlying files, prompts, outputs, or deployment metadata. Information you publish or configure for sharing is available to the corresponding recipients.

You are responsible for selecting appropriate permissions, securing connected systems, and maintaining necessary backups. Cryptographic proofs verify particular properties of an operation; they do not independently establish the accuracy, legality, or suitability of its inputs or results.

5. Network records and third-party services

Certain actions create records on the distributed network, including account identifiers, permissions, deployment details, and storage references. Those records may remain available after an account or resource is removed. Do not place confidential or unnecessary personal information in public names, labels, paths, or other visible fields.

You authorize the connections and routing you configure, including transmission of prompts and related content to selected model providers or classification endpoints. Third-party models, storage, software, and independently operated network resources may have separate terms, charges, and privacy practices. OMNI does not control those independent services.

6. Fees and billing

You agree to pay the fees and applicable taxes disclosed when you purchase a plan or authorize usage. Subscription periods, renewal, cancellation, and refund terms will be stated at purchase or in your order.

Recurring charges require your authorization. Cancel through the available billing controls or contact us before renewal. Cancellation does not eliminate charges already incurred, and stopping a subscription may not stop separately running workloads or third-party charges.

Usage and cost estimates are informational. Network charges, resource availability, and operator earnings may vary. Transactions submitted to an independent network may be irreversible.

7. Ownership and feedback

OMNI and its licensors retain all rights in the Services and their underlying software, technology, and branding. No rights are granted except as expressly stated.

You permit OMNI to use voluntary feedback without compensation, provided that doing so does not disclose your confidential information or conflict with a separate agreement.

8. Suspension and termination

You may stop using the Services at any time. OMNI may suspend or terminate access for a material breach, nonpayment, a security threat, or a legal requirement. Where reasonably practicable, we will provide notice and an opportunity to resolve the issue.

Before closing an account or stopping a workload, retrieve any information you need. Some logs and results are temporary and may disappear when a workload stops. Return or deletion of Customer Content is governed by your applicable agreement and our Privacy Policy, subject to legal requirements and the limitations of independently maintained network records.

Payment obligations already incurred and provisions concerning ownership, confidentiality, liability, indemnification, and disputes survive termination.

9. Disclaimers and liability

Except as expressly agreed in writing, the Services are provided “as is” and “as available.” To the fullest extent permitted by law, OMNI disclaims implied warranties of merchantability, fitness for a particular purpose, and noninfringement. We do not guarantee uninterrupted availability, error-free operation, or particular outcomes. Features identified as beta or experimental may change or be discontinued.

Statements describing the Services as “verifiable,” “provable,” or similar refer to specific cryptographic properties and do not constitute warranties or guarantees regarding the accuracy, legality, security, or suitability of any data, computation, output, or AI behavior. Cryptographic proofs confirm only the particular properties they are designed to verify.

To the fullest extent permitted by law, OMNI will not be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenue, or data. OMNI’s total liability arising from the Services or these Terms will not exceed the greater of $100 or the fees you paid OMNI for the affected Services during the twelve months preceding the event giving rise to the claim.

These limitations do not apply to liability that cannot lawfully be excluded or limited.

10. Indemnification

You will indemnify OMNI and its officers, directors, employees, and agents against third-party claims and reasonable related costs arising from your unlawful use of the Services, Customer Content that violates another person’s rights, or your material breach of these Terms, except to the extent caused by OMNI’s gross negligence or willful misconduct. OMNI will promptly notify you and reasonably cooperate in the defense.

11. Governing law and changes

Delaware law governs these Terms and any dispute arising from these Terms or the Services, without regard to conflict-of-law rules. The parties will resolve any such dispute exclusively through confidential mediation and, failing resolution, binding arbitration, and not in any court. Before commencing mediation or arbitration, the party raising a dispute must send a written notice of dispute to info@openmatter.network describing the claim and the relief sought, and the parties will attempt in good faith to resolve it informally for thirty (30) days. This informal-resolution requirement is a condition precedent to mediation and arbitration and tolls any applicable limitations period during the notice period. Before commencing arbitration, the parties will attempt in good faith to resolve the dispute through non-binding mediation administered by a mutually agreed mediator. If mediation does not resolve the dispute within sixty (60) days, the dispute will be finally settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The mediation and arbitration will be conducted in person in Brevard County, Florida, before a single arbitrator, and judgment on the award may be entered in any court of competent jurisdiction. All disputes must be brought in a party’s individual capacity, and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. Each party waives any right to litigate the dispute in court or to a trial by jury and any right to participate in a class or representative action, except that either party may seek injunctive or other equitable relief to protect its intellectual property or confidential information. If this class-action and representative-action waiver is held unenforceable as to a particular claim, that claim will be severed and heard in a court of competent jurisdiction while all remaining claims proceed in arbitration. This section does not apply where applicable law prohibits mandatory arbitration.

We may update these Terms prospectively by posting a revised version. We will provide reasonable advance notice of material changes and obtain acceptance where required. If a provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver.

OMNI is not liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, labor disputes, internet or utility failures, acts of third-party providers or network operators, governmental action, or other events that could not reasonably be avoided.
